Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of CoachDek (the “Service”), provided by CoachDek, Inc. (“CoachDek,” “we,” “our,” or “us”). By creating an account or using the Service, you agree to these Terms.

If you are using the Service on behalf of a school, athletic program, team, or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1.Who can use CoachDek

You must be at least 18 years old to create a paid account or accept these Terms on behalf of an organization. CoachDek is designed for coaches, coordinators, and program staff. Minors may be invited as players by their coach; minor player accounts are operated under coach and parent/guardian supervision (see the Privacy Policy for details).

You are responsible for the accuracy of information you provide and for keeping your login credentials secure. You may not share your account with anyone else.

2.Subscriptions and billing

CoachDek offers a free tier and paid subscription plans. Paid plans are billed in advance on a monthly or annual cycle through Stripe, our payment processor. By starting a paid subscription, you authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel.

Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price. We will email a receipt for each successful charge.

Cancellation. You can cancel any time from the Stripe Billing Portal (accessible from “Manage Billing” in the app). Cancellation takes effect at the end of the current billing period; you keep paid features until then. We do not pro-rate or refund partial periods.

Refunds. Refunds are not provided automatically. If you believe a charge was made in error, contact us at support@coachdek.com within 14 days and we will review the request in good faith. Refunds, where granted, are processed manually through Stripe.

Failed payments. If a charge fails, we may downgrade your account to the free tier or suspend access until payment succeeds. We will notify you before doing so.

Price changes. We may change subscription prices. We will give at least 30 days' notice by email before a price change takes effect on your account. If you do not agree, you may cancel before the new price applies.

3.Your content

You retain ownership of the practice plans, playbooks, drills, ratings, depth charts, comments, and other content you create or upload to CoachDek (“Your Content”). For each team or program you administer, Your Content is the property of that team or program (subject to whatever internal arrangements you have with your school or organization).

You grant CoachDek a worldwide, non-exclusive, royalty-free license to host, store, copy, display, and process Your Content solely as needed to operate, secure, and improve the Service for you. We do not sell Your Content, and we do not use it to train third-party AI models.

You are responsible for Your Content. You represent that you have the rights to upload it and that it does not violate anyone else's rights or any law.

4.Acceptable use

You agree not to:

• Use the Service for anything illegal, harmful, or that infringes someone else's rights.
• Upload malware, attempt to break or probe our security, or interfere with other users.
• Reverse-engineer, decompile, or attempt to extract our source code, except as expressly permitted by law.
• Resell, sublicense, or share access to a paid plan with people outside your team or program.
• Use automated systems to scrape data from the Service.

We may suspend or terminate accounts that violate these rules.

5.AI features

Some features use AI to suggest drills, plays, or other content. AI suggestions are recommendations only. You are responsible for reviewing them before using them with athletes. CoachDek does not guarantee the accuracy, safety, or appropriateness of AI-generated content for your specific situation.

6.Service availability

We aim to keep CoachDek available, but we do not guarantee uninterrupted or error-free operation. We may take the Service offline for maintenance or to fix problems. We are not liable for downtime, data loss, or other issues caused by events outside our reasonable control (network outages, third-party service failures, force majeure).

You are responsible for maintaining your own backups of any content you cannot afford to lose.

7.Termination

You may stop using the Service and delete your account at any time. Contact support@coachdek.com for full account deletion (which removes Your Content according to the Privacy Policy).

We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that creates legal or operational risk for us. We will give reasonable notice when we can.

After termination, sections that by their nature should survive (ownership, disclaimers, liability limits, dispute resolution) will continue to apply.

8.Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

CoachDek is a planning and organization tool. It is not a substitute for professional medical, safety, or coaching judgment. Decisions about player health, safety, eligibility, and conduct remain entirely with you and your organization.

9.Limitation of liability

To the fullest extent permitted by law, CoachDek's total liability to you for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) US$100.

CoachDek is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, even if we were advised of the possibility.

Some jurisdictions do not allow these limits; in those places, the limits apply to the fullest extent permitted.

10.Indemnification

You agree to indemnify and hold CoachDek harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your breach of these Terms.

11.Changes to these Terms

We may update these Terms. If we make material changes, we will notify you by email or in-app notice at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms. If you do not agree, you can cancel.

12.Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there.
